NOVA STUDIOS VENUE RENTAL AGREEMENT

This Venue Rental Agreement (“Agreement”) is entered into as of July 28, 2026 (the “Effective Date”), by and between NOVA LLC, d/b/a Nova Studios (“Venue”), and of (“Renter” or “Lessee”). Venue and Renter are collectively the “Parties.”

1. MEMBERSHIP REQUIREMENT

All attendees, vendors, contractors, and staff must be 21+ and registered members via NovaStudiosDenver.com prior to entry.
Failure to comply is a material breach and grounds for immediate termination without refund.

2. TICKETING

All tickets must be issued exclusively through NovaStudiosDenver.com. Off-platform ticketing is prohibited.
Ticket buyer shall pay a processing & service fee of $1.30 plus 3% per ticket sold.
Venue may audit sales, attendance, and settlement records. Misrepresentation constitutes fraud and breach.

3. GENERAL RULES & COMPLIANCE

Capacity: Maximum occupancy is 550. Exceeding capacity may result in shutdown without refund.
Permits/Licenses: Renter is solely responsible for all required permits, licenses, and approvals.
Security: Required at all events; staffing level set by Venue; cost borne by Renter.
Noise & Ordinances: Renter shall comply with all laws, fire codes, occupancy limits, and noise ordinances.
Venue Control: Venue may refuse entry or remove any person for safety, legal, or policy reasons.

4. RENTAL FEES

Events & Productions

Weekdays (Mon–Thu): $1,000 for up to 4 hours; $250/additional hour.
Weekends (Fri–Sun): $2,000 for up to 5 hours; $400/additional hour.

Meetings

Weekdays (Mon–Thu): $1,000 for up to 4 hours; $250/additional hour.
Weekends (Fri–Sun): $2,000 for up to 5 hours; $400/additional hour.

If the Number of Hours (4) exceeds the base allotment for the selected day, overage rates apply as above.

5. PAYMENT TERMS

A 50% non-refundable deposit is due at booking to secure the date.
The remaining balance is due in full no later than 7 days prior to the event.
Late or missing payments may result in cancellation without refund.
Accepted payments: ACH, cryptocurrency, or check. Returned payments incur a $75 fee.
Past-due sums accrue interest at 3% per 10 days (or the maximum permitted by law).

6. CANCELLATION & FORCE MAJEURE

Renter Cancellation: If Renter cancels more than 30 days before the event, Venue will refund 50% of the deposit. If Renter cancels within 30 days, the deposit is forfeited.
Venue Cancellation: If Venue cancels without cause, all monies paid by Renter shall be refunded in full.
Force Majeure: Neither Party is liable for failure or delay due to causes beyond its control (acts of God, government action, natural disasters, pandemics, labor disputes, utility failure, or civil unrest). Venue may offer a reasonable reschedule/credit at its discretion; refunds are not required for Force Majeure.

7. ALCOHOL & SUBSTANCES

Venue holds no liquor license. Alcohol service requires a valid permit or licensed vendor per Colorado law.
Renter is solely responsible for alcohol compliance and incidents, including prevention of underage service.
Illegal substances and unlawful conduct are strictly prohibited and constitute immediate breach.
No glass containers outside designated service areas.

8. INSURANCE

Renter shall maintain commercial general liability insurance of not less than $1,000,000 per occurrence.
NOVA LLC / Nova Studios must be named as an additional insured; certificate due no later than 14 days prior to the event.
Failure to provide proof of insurance is an automatic breach and allows cancellation without refund.
Waiver of Subrogation: Renter’s insurers shall waive rights of recovery/subrogation against Venue to the fullest extent permitted.

9. EQUIPMENT, FACILITIES & DAMAGES

Outside equipment requires Venue approval. Unauthorized equipment may incur a $400 storage/handling fee.
Renter is financially responsible for all damage, excessive wear, or loss caused by Renter, guests, vendors, or contractors.
Venue may terminate the event for unsafe conditions, property damage, policy violations, or unlawful activity. No refund.
Renter shall restore the premises to original condition; otherwise cleaning/repair charges apply at Venue’s standard rates.

10. OPERATIONS, SAFETY & LOAD-IN/OUT

Renter shall follow Venue directives on load-in/out, staging, rigging, pyrotechnics (prohibited unless expressly permitted), and life-safety.
Open flames, confetti, glitter, fog/haze, hazardous materials, and drones are prohibited unless pre-approved in writing.
Emergency exits and access ways must remain unobstructed at all times.
Renter must provide adequate crowd control and comply with instructions from Venue staff and authorities.

11. INDEMNITY, LIMITATION OF LIABILITY & RISK ALLOCATION

Indemnity: Renter shall indemnify, defend, and hold harmless Venue, its owners, members, officers, employees, agents, and contractors from any and all claims, damages, losses, fines, penalties, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to the event, Renter’s use of the premises, or acts/omissions of Renter, its guests, vendors, or contractors.
Limitation: To the fullest extent permitted by law, Venue’s total aggregate liability under or in connection with this Agreement shall be $0.
Venue is not responsible for loss, theft, or damage to personal property on the premises.

12. GOVERNING LAW, DISPUTE RESOLUTION & REMEDIES

This Agreement is governed by the laws of the State of Colorado.
Any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration administered by a recognized arbitration provider, held in Denver County, Colorado, before a single arbitrator. Judgment on the award may be entered in any court having jurisdiction.
Attorneys’ Fees: The prevailing Party in any dispute is entitled to recover reasonable attorneys’ fees and costs.
Waiver of Jury Trial: The Parties knowingly waive any right to a jury trial to the fullest extent permitted by law.
Equitable Relief: Venue may seek injunctive or equitable relief for actual or threatened breaches without posting bond.
Remedies Cumulative: All rights and remedies are cumulative and in addition to those provided by law or equity.

13. MISCELLANEOUS

Severability: If any provision is held invalid, the remainder remains in full force and effect.
No Waiver: Failure to enforce any provision is not a waiver of future enforcement.
Assignment: Renter may not assign or transfer this Agreement without Venue’s prior written consent.
Entire Agreement; Amendments: This is the entire understanding between the Parties and may be amended only by a signed writing.
Notices: Notices shall be in writing and effective upon delivery to the contact addresses provided by the Parties.

SIGNATURE

By signing, Renter agrees to all provisions herein. Renter acknowledges Nova Studios operates as a private members-only club and access is a privilege, not a right.
